Hydril
has completed a public secondary offering of common stock
for institutional shareholders

2001 - Kerlin acted as the financial advisor
to certain Seaver family trusts and Pomona College, who participated
in the sale of $139 million of Hydril shares through an underwritten
secondary offering. Kerlin assisted the shareholders in working
with the Company to select managing underwriters, monitor the
marketing of the offering and assist in negotiating the underwriting
fees and final pricing. Kerlin provided independent advice
concerning the secondary offering process to selling shareholders.
